BAM6042 - Company Law: Legal Organisations

Objectives:

On successful completion of the module, students will be able to:

(1) explain and apply the main principles of company law and of partnership law which affect company directors and partners and which affect the liability of the shareholders and of the partnership;
(2) critically evaluate the operation of these legislative provisions;
(3) identify, examine and analyse legal problems likely to be encountered and apply their knowledge of law to their solution;
(4) demonstrate their knowledge and understanding clearly and effectively in written form.

Content:

The module provides an opportunity to learn and understand areas of English law which directly affect the legal structure of business organisations. It examines the nature of the relevant law in context and explores the way in which the law affects both directors or partners in practical situations. It will also consider changes in the law relating to business organisations brought about by social change.

It addresses such topics as the different legal structures of business organisations, partners rights and duties inter se, the liability of the partnership to third parties, the nature of a registered company, regulation of financial matters, insider dealing, directors’ duties, insolvency provisions which relate to directors of a private company, and an introduction to minority protection.

Learning and Teaching Information:

The module will be delivered by weekly lectures supported by weekly small group sessions in the form of tutorials. A variety of methods will be used, including discussion of questions usually in the form of legal problems, issued in advance based on common reading and some limited research into primary and secondary sources of law. Some sessions will be operated on the basis of team work. Some tutorials will be operated as a surgery basis for the planning of assignments and feedback.
